December Update from Kelvin
As I have previously stated back in October, the Directors feel we have reached the end of the road with BASG. To that end we called a General meeting of the members on the 13th Dec to vote on the dissolving the company. Below is the actions and outcomes from that meeting.

Welcome
Following our general meeting held back in January 2023, the chairman stated, we have attempted again to secure support from not only anglers but from the wider Broads community, to secure the future of the Broads Fishery. This has failed at all levels.
Therefore, as announced back in October the Directors have no choice but to look to dissolve the company and have been clearing BASG of its liabilities since October.
We have reached a point when we now need members of the company to formally decide this and instruct the Directors to dissolve the company.

In discussion one issue remaining is that the Wensum Riverfly Volunteers use the BASG AT membership to provide insurance and therefore liability cover for their work undertaking kick sampling in the river. This consists of a group of some 24 volunteers.
Kelvin has explored options to offload this to Norfolk Rivers Trust, without success.
It also appears that Riverfly themselves haven’t thought about this.
It was agreed that BASG should continue as a company up to the AT subscription renewal date of July-24, at zero additional cost. The Directors agreed to continue to support this approach.
In the mean time, Kelvin will explore all options to find a way forward in removing the liability provision on BASG and provide an update on this to the Wensum volunteers.
One option highlighted was to move the Wensum volunteers to become members of WACA, who already have the same insurance as BASG. Tim Ellis agreed to discuss further.
It was agreed that the Local Giving, Clubmate and ICO subscriptions would not be renewed in early 2024.
The resolution 2 was amended as such.
But BASG will dissolve by July 2024.

Kelvin went through the actions to remove the financial liabilities since September.
Following a discussion the website presence and maintaining an archive of BASG achievements. Tim Colman offered to facilitate a new digital archive presence to ensure the achievements of BASG over 20 years is available.

Tim Colman agreed to complete the formal company house submission in the new year.
Resolutions
Resolution 1
The current Board of Directors have been unable to deliver the existing objectives of the company. To continue to pursue these or any new objectives the formation of a new board of directions will be required. This vote must be accompanied by the nomination of a new Director, (at least 2 directors are required to form the board)
No nominations received.
Resolution 2
The company members agree that BASG has reached a point that it can no longer fore fill its objectives and therefore seeks approval to dissolve the company by July 2024.

Resolution 3
All existing liabilities will be cleared and any cash balance will be donated to the Broads Charitable Trust, in line with its articles.
Members expressed their thanks to Kelvin and Duncan for their huge efforts over recent years in attempting to progress angling and environment improvement in the Broads. It was proposed and unanimously agreed that of the remaining funds, any additional expenses must be taking from BASG. With any remaining funds following the proposal in resolution 3 above.
